1. Acceptance of these Terms
These Terms of Service apply when you access or use stock.ex.gold, including our website, web application, subscription services, trial services, support channels and related features.
By creating an account, starting a trial, subscribing to a plan, accessing the application, or using any part of stock.ex.gold, you agree to these Terms. If you are using stock.ex.gold on behalf of a company, partnership, store or other organisation, you confirm that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not use stock.ex.gold.

3. The stock.ex.gold service
stock.ex.gold is a business software platform for jewellery and precious metals businesses. The service may include inventory management, metal purity and weight-based stock records, gemstone records, customer and supplier contacts, invoicing, repair booking, audit trails, reporting, email notifications, marketplace publishing tools and related features.
Some features may depend on your subscription plan, trial status, location, configuration, third-party provider availability, or our product roadmap.
We may improve, update, modify, suspend or discontinue parts of the service from time to time. We will try to avoid changes that materially reduce the core functionality of a paid plan during an active subscription period, unless required for security, legal, technical or operational reasons.
4. Business use only
stock.ex.gold is designed for business use by jewellery retailers, precious metals traders, repair businesses, suppliers and related commercial users. It is not intended for children or for personal, household or consumer use.
You are responsible for ensuring that your use of stock.ex.gold complies with the laws, tax rules, accounting requirements, consumer obligations and trade regulations that apply to your business.
5. Accounts and user access
You may need an account to use stock.ex.gold. You agree to provide accurate account, business and billing information and to keep that information up to date.
You are responsible for all activity under your account and for managing access by your staff, contractors or other authorised users. You must keep login credentials secure and notify us promptly if you suspect unauthorised access.
Authentication may be handled through Google Cloud/Firebase or another authentication provider. We do not store your password directly where authentication is handled by a third-party authentication service.
We may restrict, suspend or remove access where we reasonably believe an account is being misused, presents a security risk, violates these Terms, or may expose us, users or third parties to harm.
6. Trials, subscriptions and billing
We may offer free trials, paid subscriptions, promotional offers or plan-specific access. Trial terms, subscription prices, billing periods and included features will be shown on the pricing page, checkout page, order flow or within the application.
Unless stated otherwise, free trials start with Marketplace access so you can test the broader workflow, including inventory, reporting, repairs, storefront publishing and marketplace listing features. After the trial, you may choose the plan that fits your business.
Subscription payments are processed by Stripe or another payment provider. We do not store full card details. By subscribing to a paid plan, you authorise the payment provider to charge the applicable subscription fees, taxes and other amounts shown at checkout.
Subscription fees are billed in advance for the selected billing period unless stated otherwise. If you choose annual billing, the annual amount is charged for the year in advance.
Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. You are responsible for cancelling before the next renewal date if you do not want the subscription to continue.
Prices may exclude taxes, VAT, duties or similar charges unless stated otherwise. Applicable taxes will be shown where required before payment or in the relevant invoice or checkout flow.
You are responsible for keeping payment details current. If payment fails, we may retry the payment, notify you, restrict paid features, suspend the subscription, or cancel access if the issue is not resolved.
7. Cancellation, downgrades and refunds
You may cancel or change your subscription according to the options available in the application or by contacting us. Cancellation normally takes effect at the end of the current paid billing period unless we state otherwise.
If you cancel a subscription, you will continue to have access to the paid features until the end of the billing period that you have already paid for, unless your account is suspended or terminated for breach of these Terms.
Subscription fees are non-refundable except where required by applicable law or where we expressly agree otherwise in writing. This includes monthly and annual subscription fees, renewal fees and plan upgrade fees.
We do not normally provide refunds or credits for unused time, partial billing periods, inactive accounts, unused features, failure to cancel before renewal, or a decision to stop using the service during a paid billing period.
We may, at our sole discretion, offer a refund, account credit, extension, discount or other goodwill adjustment in individual cases. Any goodwill adjustment is voluntary, does not create a legal obligation, and does not mean we must offer the same adjustment again or to any other customer.
If you downgrade from Marketplace to Stock, marketplace-specific features may stop working. Published listings may be unpublished or restricted, and marketplace/storefront access may be disabled according to the plan rules.
Nothing in these Terms limits any rights you may have under mandatory laws that cannot legally be excluded.
8. Your data and customer records
You retain ownership of the data you or your authorised users enter into stock.ex.gold, including inventory records, customer records, supplier records, invoice details, repair job data, images and marketplace listing data.
You grant us the rights needed to host, process, transmit, display, back up and otherwise use that data to provide, secure, support and improve stock.ex.gold.
If you enter personal data about your own customers, suppliers, staff or contacts, you are responsible for ensuring that you have the right to do so and that those individuals receive any privacy information required by applicable law.
You must not upload unlawful, infringing, misleading, unsafe, offensive or inappropriate content, or content that you do not have the right to use.
9. Marketplace and storefront features
Marketplace and storefront features may allow you to publish selected inventory to a branded online store, a stock.ex.gold subdomain, or a marketplace-related destination. You are responsible for the accuracy, legality and completeness of all listings, product descriptions, images, prices, charges, stock availability and business details that you publish.
You must not publish counterfeit goods, stolen goods, prohibited goods, misleading listings, infringing content, or any items that you are not legally authorised to sell.
Marketplace plans may include a limit on live active listings. A live listing is an item currently published to your storefront or the marketplace. Draft, disabled or internal-only items do not count as live listings unless stated otherwise.
We may remove, disable or restrict listings where we reasonably believe they breach these Terms, applicable law, marketplace rules, third-party rights, payment provider rules, communications provider rules, or content/moderation standards.
Unless expressly agreed otherwise, stock.ex.gold provides software tools and does not become the seller, buyer, broker, agent, valuer, jeweller, insurer or payment intermediary for your transactions with your customers.
10. Live rates and pricing tools
stock.ex.gold may provide live or periodically updated metal rates, currency rates, pricing tools, valuation tools or listing price calculations. These features are provided to support your business workflow and may depend on third-party data sources.
Rates and calculated prices may be delayed, unavailable, inaccurate, incomplete or affected by provider outages, configuration errors or market conditions. You are responsible for checking prices, rates, weights, charges and invoices before relying on them or presenting them to customers.
stock.ex.gold is not financial, investment, tax, valuation, insurance or legal advice. You remain responsible for your own pricing, valuation, tax, compliance and commercial decisions.
11. Email, WhatsApp and customer notifications
stock.ex.gold may allow you to send service-related emails, invoice emails, repair updates and WhatsApp notifications to customers or contacts.
You are responsible for ensuring that you have a lawful basis or permission to send messages to your customers or contacts, and that the content of those messages is accurate and lawful.
WhatsApp notifications may be sent through Twilio, Meta / WhatsApp Business API or other providers. Delivery may depend on provider availability, approved templates, recipient settings, phone number validity, geographic restrictions, fair-use limits and messaging rules.
Marketplace plans may include a fair-use WhatsApp allowance, such as up to 500 messages per month, where stated on the pricing page or in your plan details. We may apply limits, charge for excess usage, restrict abusive usage, or update usage allowances with reasonable notice.
You must not use stock.ex.gold messaging features to send spam, unlawful marketing, deceptive messages, harassment, harmful content or messages that breach communications provider rules.
12. Third-party services and integrations
stock.ex.gold may use or integrate with third-party services, including Google Cloud / Firebase, Stripe, SendGrid, Twilio, Meta / WhatsApp Business API, Google Analytics, Google Calendar and Google Maps / Places.
Third-party services may be subject to their own terms, policies, limits and availability. We are not responsible for failures, delays, outages, changes or acts of third-party providers outside our reasonable control.
If you connect, enable or use a third-party integration, you authorise us to share the information reasonably necessary to provide that integration.
13. Acceptable use
You must use stock.ex.gold lawfully and responsibly. You must not:
- ✓Use the service for unlawful, fraudulent, misleading or harmful activities.
- ✓ Interfere with, disrupt, overload, scan, attack or attempt to gain unauthorised access to the service or its infrastructure.
- ✓Reverse engineer, copy, resell, sublicense or commercially exploit the service except as permitted by these Terms.
- ✓Upload malware, harmful code, unlawful content, infringing content or content that violates another person’s rights.
- ✓Use the service to send spam, unsolicited marketing, abusive messages or communications that breach provider rules.
- ✓Misrepresent your business, products, prices, stock, certifications, hallmarks or legal authority to sell items.
- ✓ Use the service in a way that may damage stock.ex.gold, SOLVED - FZCO, other users, customers, suppliers or third parties.
14. Intellectual property
stock.ex.gold, including its software, design, interfaces, branding, code, workflows, documentation and content, is owned by SOLVED - FZCO or its licensors and is protected by intellectual property laws.
Subject to these Terms and your subscription status, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use stock.ex.gold for your internal business purposes and permitted marketplace/storefront use.
You may provide feedback, ideas or suggestions about stock.ex.gold. We may use that feedback without restriction or obligation to compensate you.
You retain ownership of your business data and uploaded content, subject to the rights you grant us to provide and operate the service.
15. Confidentiality
During your use of stock.ex.gold, you may receive non-public information about the service, product roadmap, pricing, security, technical design, business plans or other confidential matters.
You agree not to disclose confidential information except where required by law or with our written permission. This does not restrict information that becomes public through no fault of yours or that you already lawfully knew.
16. Availability, support and changes
We aim to provide a reliable service, but we do not guarantee that stock.ex.gold will be uninterrupted, error-free, secure, or available at all times.
The service may be unavailable because of maintenance, upgrades, faults, security incidents, provider outages, network issues, force majeure events or other circumstances.
Support availability, response times and support channels may depend on your plan. Any support response times stated on the website or in plan materials are targets unless expressly stated as a binding service level agreement.
We may release beta, preview or experimental features. Such features may be changed, limited or removed at any time and may be less reliable than generally available features.
17. Disclaimers
stock.ex.gold is provided on an “as is” and “as available” basis to the maximum extent permitted by law.
We do not promise that the service will meet every requirement of your business, that all records will be free from user error, that all calculations will be correct in every situation, or that all third-party integrations will remain available.
You are responsible for checking business-critical information, including weights, purities, prices, invoices, customer details, supplier details, tax treatment, stock values and marketplace listings.
We are not responsible for jewellery valuation decisions, legal compliance decisions, accounting treatment, tax decisions, customer disputes, supplier disputes, marketplace sales outcomes, or the commercial results of your use of stock.ex.gold.
18. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
To the maximum extent permitted by law, SOLVED - FZCO will not be liable for indirect, incidental, special, consequential, punitive or exemplary losses, or for loss of profits, revenue, goodwill, business opportunity, data, anticipated savings, or business interruption.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to stock.ex.gold or these Terms will not exceed the fees you paid to us for the service in the three months before the event giving rise to the claim.
The limits above apply whether the claim is based on contract, tort, negligence, statutory duty, strict liability or any other legal theory, even if we have been advised of the possibility of such losses.
19. Your responsibility to protect us
You agree to defend, indemnify and hold harmless SOLVED - FZCO, its affiliates, officers, employees and suppliers from claims, losses, damages, liabilities, penalties, costs and expenses arising from:

- ✓Your use of stock.ex.gold in breach of law or third-party rights.
- ✓Your inventory, invoice, repair, customer, supplier, marketplace or notification data.
- ✓Your products, listings, prices, customer communications, sales, disputes, tax treatment or compliance obligations.
20. Suspension and termination
You may stop using stock.ex.gold at any time. If you have a paid subscription, cancellation and billing rules apply as described in these Terms and the checkout or billing flow.
We may suspend or terminate your access if you breach these Terms, fail to pay fees, create security risk, misuse the service, infringe third-party rights, violate provider rules, or use the service in a way that may expose us or others to legal, financial, reputational or technical harm.
After termination or account closure, your access to the service may stop. We may delete, retain or anonymise data according to our Privacy Policy, retention practices, legal obligations and backup processes.
Terms that by their nature should continue after termination will continue, including payment obligations, intellectual property terms, confidentiality, disclaimers, liability limits, indemnities and governing law.
21. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date above.
If changes are material, we may provide additional notice, such as by email, in-app notice, or notice on the website. Your continued use of stock.ex.gold after the updated Terms become effective means you accept the updated Terms.
If you do not agree to updated Terms, you must stop using the service and may cancel your subscription according to the cancellation process.
22. Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates, unless mandatory laws in your location require otherwise.
Subject to any mandatory rights you may have under applicable law, the courts of Dubai, United Arab Emirates will have jurisdiction over disputes arising out of or relating to these Terms or stock.ex.gold.
Before starting formal proceedings, you agree to contact us and try to resolve the dispute in good faith. You can contact us at hello@ex.gold .
23. General terms
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations as part of a merger, acquisition, reorganisation, sale of assets, corporate restructuring, or similar transaction.
If any part of these Terms is found to be invalid or unenforceable, the remaining parts will continue to apply.
Our failure to enforce a right or provision does not mean we waive that right or provision.
These Terms, together with the Privacy Policy, pricing terms, plan details and any agreed order or subscription terms, form the agreement between you and us for stock.ex.gold.
